End User License Agreement
This agreement is between NOT Networks (“NOT Networks,” “we,” or “us”) and the individual or organization accepting it (“Customer”). By installing, accessing, or using Network Operations Toolkit (“Software”), Customer accepts this agreement and the Privacy Policy.
1. License
Subject to timely payment, license limits, and these terms, we grant Customer a limited, non-exclusive, non-transferable, revocable license to install and use the Software internally for authorized network operations. The license is limited by the purchased monitored-node tier. User accounts within the licensed installation are unlimited.
2. Operational responsibility
Customer must maintain independent backups and operational procedures and must not rely on the Software as the sole source for safety, security, compliance, outage response, or business-critical decisions.
3. Authorized and acceptable use
Customer may connect only systems, accounts, tenants, and data it owns or is expressly authorized to administer. Customer must protect credentials, comply with applicable law and third-party terms, and must not bypass licensing, share a key outside the licensed organization, probe or attack the service, reverse engineer except where law expressly permits, resell or sublicense the Software, infringe rights, introduce malicious code, or use the Software for unlawful surveillance or unauthorized access.
4. Aruba Central access model
Operational modules use read-only Aruba Central API requests. Write-capable tools are limited to the Administration module and are subject to application role-based access. Customer remains responsible for granting appropriately limited API permissions, restricting administrator roles, reviewing consequential actions, and controlling activity by other applications or users in its environment.
5. Licensing and enforcement
The Software periodically contacts our licensing service and reports an installation identifier, application version, cryptographic installation identity, and aggregate monitored-node count. It does not send device-level Aruba records or Aruba credentials to the licensing service. A suspended, revoked, expired, cloned, or over-tier license may be disabled after applicable grace periods. Node-tier overages receive a 14-day upgrade period.
6. Feedback
Customer may provide feedback voluntarily. Customer grants us a perpetual, worldwide, royalty-free right to use feedback to improve our products, without identifying Customer publicly or transferring ownership of Customer data.
7. Ownership
NOT Networks and its licensors retain all rights in the Software, documentation, and related intellectual property. Customer retains its rights in Customer data.
8. Confidentiality and security
Each party will use reasonable care to protect nonpublic confidential information. No system is completely secure. Customer must promptly notify us of suspected credential compromise and rotate affected credentials.
9. Third-party services
The Software interoperates with services we do not control. The Third-Party, Trademark, and API Notice is incorporated here. Customer is responsible for its third-party accounts, permissions, subscriptions, and terms.
10. Support, fees, and refunds

11. Suspension and termination
We may suspend or terminate access for nonpayment, material breach, security risk, unlawful use, license sharing, or harm to systems or third parties. Upon termination, Customer must stop using and delete the Software, subject to legally required retention and ordinary backups.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR ERROR-FREE OPERATION.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, loss of data, or business interruption. NOT Networks’ aggregate liability will not exceed fees Customer paid for the Software during the six months before the event giving rise to the claim. These limits do not apply where prohibited by law.
14. Indemnity
Customer will defend and indemnify NOT Networks from third-party claims arising from Customer’s unauthorized or unlawful use, violation of third-party rights or terms, or systems and data Customer connects, except to the extent caused by NOT Networks.
15. Governing law
Louisiana law and applicable United States federal law govern, without regard to conflict-of-law rules. State and federal courts located in Louisiana will have exclusive jurisdiction, except that either party may seek emergency equitable relief in any competent court. Mandatory consumer protections that cannot lawfully be waived remain applicable.
16. Changes and entire agreement
We may update these terms prospectively and will require acceptance of materially revised versions. This agreement and incorporated policies are the entire agreement unless a signed written agreement says otherwise. If a provision is unenforceable, the remainder remains effective.
